Terms and Conditions of Sale

1. Purpose
These Terms and Conditions of Sale (“T&Cs”) govern the contractual relationship between Syn Spectra (hereinafter “the Service Provider”), represented by Solène ROUAN, member of the Smart cooperative (Productions Associées, Rue Coenraets, 72 – 1060 Brussels – VAT: BE 0896.755.397), and any natural or legal person (hereinafter “the Client”), whether professional or private, making use of graphic design, web design, visual communication, and printed or digital support services.

2. Quotations and Orders

Each service is subject to a detailed quotation, valid for 30 days.
An order is confirmed upon signature of the quotation (paper or electronic) and payment of a minimum deposit of 30%.
The signature of the quotation implies full and unconditional acceptance of these T&Cs.

3. Prices and Payment Terms

Prices are expressed in euros and invoiced via Smart (VAT included where applicable).
Payments must be made by bank transfer to the account indicated by Smart.
The balance is due upon delivery of the final files.
Any late payment will automatically incur statutory late payment interest, without prior notice, as well as a fixed compensation of €40 for recovery costs.

4. Deadlines and Delivery

Deadlines are provided for information purposes only and may vary depending on the Client’s responsiveness (validation, provision of content).
Delivery of files will be made digitally (WeTransfer, cloud link, email).

5. Revisions and Modifications

Unless otherwise stated in the quotation, the service includes two rounds of revisions.
Any additional modification, or any change of brief during the project, will be subject to additional billing.

6. Intellectual Property

All creations remain the property of the Service Provider until full payment of the invoice.
Upon full payment, the rights of use are transferred to the Client for the media and purposes defined in the quotation.
Moral rights (authorship, respect for the integrity of the work) remain inalienable and attached to the Service Provider.
The Service Provider reserves the right to use the creations for communication and portfolio purposes.

7. Client Responsibilities

The Client guarantees that all content provided (texts, images, logos) is free of third-party rights or that the necessary authorisations have been obtained.
The Service Provider shall not be held liable for any unlawful or fraudulent use of materials supplied by the Client.

8. Cancellation and Termination

In the event of cancellation by the Client, the deposit remains acquired by the Service Provider.
Work already carried out will be invoiced on a pro rata basis.
In the event of termination by the Service Provider (force majeure, impossibility to perform the service), sums already paid will be reimbursed to the Client, excluding expenses already incurred.

9. Confidentiality

The Service Provider undertakes not to disclose any confidential information provided by the Client in connection with the service.

10. Governing Law and Jurisdiction

These T&Cs are governed by Belgian law. In case of dispute, exclusive jurisdiction is assigned to the courts of the judicial district of Brussels.
